Organization

This Association, a non-profit corporation under the laws of the state of West Virginia, is known as the Arthurdale Water Company located in Arthurdale West Virginia.

Board Members

Officers

All members of the Board of Directors must be active members of the corporation.

The executive officers of the corporation shall be a Board of Directors of five members elected by the membership of the organization. One shall be elected to serve a three-year term, two elected to serve a two- year term, and two elected to serve a one-year term.

Officers elected or re-elected to fill the expired term of the first officers shall be elected for a term of three years.

The Board of Directors shall select a president, vice-president, secretary, and treasurer from its own members.

Members to serve on standing and special committees shall be appointed from the entire membership.

Powers of the Board of Directors

• To make decisions to take care of emergencies; pump failures, inadequate water supply, breaks and leaks in the system, and water that has been declared unsafe by the health department.
• To purchase parts and employ laborers for maintenance of the water system.
• Authorizes the president to call special meetings.
• Institute legal action to collect delinquent claims.
• Appoint members to fill vacancies of unexpired terms of the Board of Directors.
• To exercise or delegate the discontinuance of service by disconnecting the service lines at the shut-off valve.
